By accessing or using any services provided by Yield Capitals, including but not limited to AI-powered trading, copy trading, funding applications, and loan services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety. If you do not agree to these terms, you must immediately cease all use of our services.

• "Account" means a registered user account on the Yield Capitals platform.

• "Funding Application" means the formal request submitted by a Client to obtain loans or capital through Yield Capitals.
• "Investment Plans" means the various AI-powered trading strategies offered by Yield Capitals, including Core AI Growth, Boosted AI, Elite AI Wealth, and Institutional Vault.
• "Loan" means any capital provided by Yield Capitals to an eligible Client under specific terms and conditions.
• "Trade Cycle" means the duration of an active Investment Plan, ranging from 10 to 60 days.
• "VAT Fee" means the Value Added Tax or service fee of 10% charged at the end of each trade cycle.

All services are provided on an "as is" and "as available" basis, subject to these Terms and Conditions and any applicable laws and regulations, including those enforced by ASIC.

5. Eligibility and Account Requirements

5.1 Age and Capacity

To be eligible for any Yield Capitals services, you must be at least 18 years of age (or the age of majority in your jurisdiction) and possess the legal capacity to enter into binding contracts.

5.2 Account Registration

All Clients must complete the registration process by providing accurate, current, and complete information as requested on the registration form. You agree to maintain and promptly update your account information to keep it accurate and complete.

Yield Capitals reserves the right to verify your identity, address, and any other information provided. You agree to cooperate with all verification requests and provide any necessary documentation, including but not limited to:

• Government-issued identification (passport, driver's license, national ID card)
• Proof of address (utility bills, bank statements)
• Source of funds documentation
• Business registration documents (for business accounts)

• Trading performance (for trader applicants)
• Business viability (for startup and business applicants)
• Creditworthiness and financial stability
• Compliance with minimum deposit requirements

6.3 Funding Limits

Subject to approval, Yield Capitals may offer the following funding limits based on Client category and assessment results:

6.5 Default and Remedies

Failure to comply with repayment terms may result in:

• Acceleration of the outstanding balance
• Suspension or termination of account access
• Forfeiture of any profits or balances held
• Referral to collection agencies
• Legal action to recover amounts due

6.6 Funding Agreement

Approved funding applications will be subject to a separate funding agreement specifying the exact terms, including interest rates (if applicable), repayment schedule, and any collateral requirements. In the event of conflict, the funding agreement shall prevail over these Terms.

7. Fees and VAT Structure

7.1 One-Time VAT Fee

The 10% VAT fee comprises three distinct components:

• Management Fee: Covers operational costs including server maintenance, security infrastructure, and 24/7 system monitoring.
• AI Subscription Fee: Supports continuous development and improvement of trading algorithms, machine learning updates, and market data feeds.
• Performance Fee: Represents a share of profits generated, aligning Company interests with Client success.

7.3 Fee Payment Terms

By participating in any Investment Plan, you acknowledge and agree that:

• The 10% fee is charged only once per trade cycle
• Fee payment is required before any withdrawal of funds is processed
• No ongoing fees or hidden costs apply during the trade cycle
• Failure to pay the VAT fee when due may result in forfeiture of profits

7.4 Tax Responsibility

Clients are solely responsible for any additional taxes applicable in their jurisdiction. Yield Capitals does not provide tax advice, and Clients should consult with qualified tax professionals regarding their tax obligations.

7.5 Fee Changes

Yield Capitals reserves the right to modify fees upon 30 days' written notice to Clients. Continued use of services after fee changes constitutes acceptance of the new fee structure.

8. AI Investment Plans

8.1 Plan Descriptions

Yield Capitals offers the following Investment Plans, each with specific parameters:

All Investment Plans operate on a one-time purchase model. Clients invest once and enjoy automated trading for the full duration without additional capital calls or reinvestment requirements during the active trade cycle.

8.3 Risk Parameters

Each plan incorporates specific risk management protocols, including maximum exposure limits, dynamic stop-losses, and correlation filters. These parameters are designed to protect Client capital while maintaining the 95% success rate and 0-5% risk framework.

8.4 Profit Distribution

Profits generated are credited to Client accounts in real-time. Withdrawals are subject to the VAT fee payment and may be requested at any time after the trade cycle completion, subject to a minimum withdrawal amount of $50.

9. Copy Trading

9.1 Service Description

AI Expert Copy Trading allows Clients to automatically mirror the trades of selected AI-powered trading strategies. This service is fully automated and requires no manual intervention once configured. Our top AI traders achieve impressive daily returns:

9.2 Selection and Allocation

Clients may select from available AI traders and allocate funds for copying. Allocation amounts are subject to minimum requirements and may be adjusted based on the selected strategy's parameters.

9.3 Risk Acknowledgement

By using Copy Trading services, Clients acknowledge that they are replicating the trading decisions of AI systems and accept all associated risks. Past performance of any AI trader does not guarantee future results.

9.4 Fees

Copy Trading may be subject to additional fees as disclosed in the applicable Investment Plan or funding agreement.

10. Risk & Performance Disclosure

At Yield Capitals, our advanced AI trading infrastructure is designed to reduce traditional market risks through real-time data analysis, intelligent trade execution, and multi-layer risk management protocols.

Under typical market conditions, our AI systems have historically demonstrated trade accuracy levels of up to 95%, while operating within a targeted 0–5% controlled risk exposure framework. These figures are derived from internal historical model performance and are provided for informational and illustrative purposes only.

The 95% trade accuracy figure referenced represents historical model performance under typical market conditions and should not be interpreted as a guarantee of future results.

10.4 No Investment Advice

Yield Capitals does not provide investment, legal, tax, or financial advice. Participation in our AI-powered programs should be undertaken only after careful consideration of your financial situation, investment objectives, and risk tolerance. Prospective clients are strongly encouraged to conduct independent due diligence and, where appropriate, consult with a licensed financial advisor.

10.5 No Guarantee Statement

Yield Capitals does not guarantee absolute returns, specific profit levels, or complete protection against losses. All Clients acknowledge and accept that they may lose some or all of their invested capital. The 0-5% risk exposure framework is a risk management target and does not constitute a guarantee against losses exceeding this range under extreme market conditions.

11. Client Responsibilities

11.1 Account Security

Clients are solely responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account. You agree to notify Yield Capitals immediately of any unauthorized use of your account.

11.2 Compliance with Laws

Clients must comply with all applicable laws and regulations, including tax reporting obligations, anti-money laundering requirements, and sanctions programs.

11.3 Truthful Information

You represent and warrant that all information provided to Yield Capitals is accurate, complete, and not misleading. Providing false or fraudulent information may result in immediate termination and legal action.

11.4 Prohibited Activities

Clients are prohibited from:

• Engaging in any fraudulent or manipulative trading activities
• Attempting to bypass or interfere with security systems
• Using the platform for money laundering or illegal purposes
• Exploiting system errors or vulnerabilities
• Misrepresenting identity or qualifications

11.5 Tax Compliance

Clients are solely responsible for all tax obligations arising from their use of Yield Capitals services. The Company does not withhold taxes on behalf of Clients unless required by law.

12. Representations and Warranties

By using Yield Capitals services, you represent and warrant that:

• You have the legal capacity and authority to enter into these Terms
• All information provided is true, accurate, and complete
• You understand and accept the risks associated with trading and investing
• Funds used for investments are legally obtained and not derived from illegal activities
• You are not a resident of a prohibited jurisdiction
• Your use of services complies with all applicable laws
• You have read and understood the Risk Disclosure section

13. Limitation of Liability

• Your use or inability to use the services
• Any conduct or content of any third party
• Unauthorized access to or alteration of your data
• Statements or conduct of any third party
• Market losses resulting from trading activities
• System failures, delays, or interruptions

IN NO EVENT SHALL YIELD CAPITAL INVESTORS PTY LTD'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT OF FEES PAID BY YOU DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

14. Termination and Suspension

14.1 Termination by Client

Clients may terminate their account at any time by providing written notice, subject to settlement of all outstanding obligations, including payment of any applicable VAT fees.

14.2 Suspension or Termination by Yield Capitals

Yield Capitals reserves the right to suspend or terminate any account, without prior notice, for:

• Violation of these Terms
• Suspected fraudulent or illegal activity
• Failure to pay fees when due
• Provision of false information
• Regulatory requirements
• Extended inactivity

14.3 Effect of Termination

Upon termination, all outstanding fees become immediately due and payable. Active investment plans may be closed at current market value, subject to applicable fees and market conditions.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal proceedings, Clients agree to attempt to resolve disputes informally by contacting support@yieldscapitalsllc.com.

15.2 Arbitration

Any dispute arising out of or relating to these Terms or your use of services shall be finally settled by binding arbitration administered by the London Court of International Arbitration (LCIA) under its rules. The arbitration shall take place in London, England, and be conducted in English.

15.3 Class Action Waiver

You agree to resolve disputes with Yield Capitals on an individual basis and waive any right to participate in class action proceedings.

15.4 Jurisdiction

Notwithstanding the arbitration provision, either party may seek injunctive or equitable relief from the courts of England and Wales to protect intellectual property rights or confidential information.

16. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply. Nothing in this clause shall derogate from the Company's obligations under Australian law as a registered Australian entity.

Yield Capitals reserves the right to modify these Terms at any time. Material changes will be communicated via email or platform notice at least 30 days before becoming effective. Continued use of services after the effective date constitutes acceptance of the modified Terms.
